1. Acceptance of Terms

By hiring Vio Dsgn Studio for design or development services, you (the "Client") agree to be bound by these Terms & Conditions. These terms apply to all projects unless otherwise agreed in a specific written proposal.

2. Services & Scope

Vio Dsgn Studio provides digital design services, including UX/UI design, Webflow development, WordPress development, and on-page SEO.

• The specific deliverables for your project will be outlined in your project proposal or invoice.
• Any additional work requested outside of the original scope ("Scope Creep") will be charged at our standard hourly rate or quoted separately.

3. Payments & Deposits

• Deposit: A non-refundable deposit (typically 50%) is required to secure your spot in our schedule. Work will not commence until the deposit is paid.
• Final Payment: The remaining balance is due upon completion of the project, prior to the final release of files or website launch.
• Delays: If the project is paused or delayed by the Client for more than 30 days, we reserve the right to invoice for all work completed up to that point.

4. Content Strategy & Client Responsibilities

• Content Collaboration: Vio Dsgn Studio assists with content planning, copywriting drafts, and creative direction for visual assets (e.g., guiding you on what photos or videos are needed).
• Approval & Accuracy: While we provide drafts and guidance, the Client is responsible for the final review, fact-checking, and approval of all written content and assets. You must ensure all information is accurate and complies with your industry's regulations.
• Ownership & Rights: You guarantee that all elements of text, graphics, photos, designs, trademarks, or other artwork you provide (or approve for use) are either owned by you, or that you have permission to use them.

5. Revisions

Unless otherwise specified in the proposal, our fixed-price projects include two (2) rounds of revisions per stage.

• Revisions are intended for refinements, not major design overhauls.
• Additional revisions or changes requested after approval of a stage will be charged at an hourly rate.

6. Intellectual Property (IP) & Portfolio Rights

• Client Ownership: Upon full payment, the Client is granted ownership of the final designs and website files for their intended use.
• Portfolio Use: Vio Dsgn Studio retains the right to display the project (including preliminary designs and final outcome) in our portfolio, social media, and marketing materials for promotional purposes.
• Footer Credit: With the Client's permission, we may include a subtle text link to Vio Dsgn Studio in the site footer (e.g., "Designed by Vio Dsgn Studio").

7. Third-Party Tools & Liability

• Tools: We may use third-party platforms (such as Webflow, WordPress, Plugins) to build your site. We are not responsible for price changes or service interruptions caused by these third-party providers.
• Post-Launch: Once the website is launched and handed over, Vio Dsgn Studio is not responsible for future issues caused by third-party plugin updates, hosting failures, or Client modifications. We offer maintenance packages if you require ongoing support.

8. Limitation of Liability & SEO

• General Liability: Vio Dsgn Studio shall not be liable for any indirect or consequential loss or damage, including lost profits or business interruption, arising out of our services.
• SEO Disclaimer: Our services include On-Page SEO setup only (e.g., heading structure, meta tags, and image optimization) to ensure your site is search-engine friendly upon launch. We do not control search engine algorithms or off-page factors (such as backlinks). Therefore, we cannot guarantee specific search engine rankings (e.g., Google #1 ranking) or traffic numbers.

9. Governing Law

These Terms & Conditions are governed by the laws of Western Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Western Australia.
